REFERRAL PROGRAM

MaintainX Referral Terms

  • MaintainX Inc. (“we”, “MaintainX” or “Company”) may, from time to time, offer users of our service (“Service”) the opportunity to refer prospective MaintainX customer(s) with which the friends, family or colleagues of a User (as defined below) are employed or associated to try the Service (“MaintainX Referral Program” or “Program”).  We reserve the right to terminate the Program at any time for any reason.  
  • Users are bound by these Terms by participating in the Program.  If you do not agree to these Terms, you are not authorized to be a Referrer (defined below) or participate in the Program.  Users may not participate in the Program where doing so would be prohibited by any applicable law or regulations.
  • We reserve the right to modify or amend at any time these Terms and the methods through which Rewards are earned.  We reserve the right to disqualify any User at any time from participation in the Program if he/she does not comply with any of these Terms.

1. Privacy

Individuals who are Authorized Users (as defined in the Terms of Service applicable to the Service, which may be found at https://www.getmaintainx.com/terms-of-service) may participate in the Program to recommend the Service to prospective MaintainX customer(s) with which the Authorized User’s friends, family or colleagues are employed or associated ("Users").  To do this, Users must submit personal information about themselves and their friends, family members or colleagues, such as name and e-mail address information, so that the Company can contact the User’s friends, family or colleagues.  The personal information will be collected, processed and used in accordance with the Company’s Privacy Statement, which can be found at https://www.getmaintainx.com/privacy-policy.  Personal information also may be used by the Company to contact Users with regards to their participation in the Program and to receive communications from the Company.   Where a User provides personal information about the User’s friends, family members or colleagues to receive communications via the Program, the provided personal information will be used by the Company for sending these communications and the User understands that the Company may send out additional follow-up communications referencing the User to encourage or remind the friends, family members or colleagues to complete the purchase process on behalf of the prospective MaintainX customer(s) with which the User’s friends, family or colleagues are employed or associated.

2. How the Program Works

Program Participation, Generally

Users who refer are called “Referrers.”  Prospective MaintainX customer(s) with which the User’s friends, family or colleagues are employed or associated who a User refers are called “Referred Customers.”  An “eligible” Referrer who is fully compliant with these Terms and Conditions may receive “Reward(s)” for every “Qualified Referral.”

Eligible Referrer 

To be “eligible,” a Referrer must:

  1. be a legal resident of the United States of America or Canada;
  2. be at least 18 years old; and
  3. be an active Authorized User (or a formerly active Authorized User).

Employees of the Company or any of its or their subsidiaries, affiliates or promotional agencies, including immediate family and household members, are not eligible.

Qualified Referrals

A Qualified Referral means that all the following conditions are met: 

  1. MaintainX has no record of the Referred Customer in connection with the MaintainX Service, or who are not, at the time referred to MaintainX, in any contractual relations or ongoing discussions and/or negotiations with MaintainX in connection with the MaintainX Service;
  2. The Referred Customer is not rejected by MaintainX for any reason; and
  3. The Referred Customer subscribes to and pays for the MaintainX Service on or before March 31, 2026.

Rewards for Qualified Referrals

Rewards only can be awarded for Qualified Referrals.  We will deliver the Reward to the Referrer within thirty (30) days immediately after the receipt of payment for the MaintainX Service from the Qualified Referral.  

Earning Rewards

Referrer will receive US$500 for each verified Qualified Referral generated by Referrer.  If MaintainX pays more than US$600 to Referrer in any calendar year, Referrer will provide to MaintainX all information reasonably requested by MaintainX for MaintainX to complete and file any applicable tax filings.  Referrer is solely responsible for any taxes due and payable with respect to any payments made to Referrer by MaintainX.

Verified Qualified Referrals

Rewards are subject to verification.  The Company may delay a Reward for the purposes of investigation.  The Company may refuse to verify and process any transaction Company deems, in its sole discretion, to be fraudulent, suspicious, in violation of these Terms, or believes will impose potential liability on Company, its subsidiaries, affiliates or any of their respective officers, directors, employees, representatives and agents.  The Company's decisions are final and binding, including decisions as to whether a Qualified Referral or Reward is verified.  

Transfer and Value of Rewards

Rewards may not be redeemed for cash.

3. Applicable Law

Any and all disputes, claims and causes of action arising out of or related to the Program or any Rewards shall be resolved under Delaware law (without reference to its conflicts of laws principles), and participants in the Program agree to submit any dispute to the exclusive jurisdiction of the state and federal courts located in New Castle County, Delaware.

4. General Terms

These Terms constitute the entire agreement between Users and the Company concerning Users’ use of the Program.  The failure of the Company to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.  If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect. The section titles in these Terms are for convenience only and have no legal or contractual effect.  A person who is not a party to these Terms shall have no right to enforce or receive the benefit of any of these Terms.
